Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Envix Technologies' ("Envix," "we," "our," or "us") website, products, and services. By accessing or using our services, you agree to be bound by these Terms.

Products and Services

Envix provides GPU hardware, compute systems, and associated software including:

Training and inference server hardware
Edge AI systems
Rendering and visualization systems
Custom GPU clusters
Envix Runtime software, drivers, and SDK (collectively, "Software")
Technical support and professional services

Hardware Purchase Terms

All hardware purchases are subject to our standard purchase agreement. Hardware orders are binding upon acceptance by Envix. Pricing, availability, and specifications are subject to change without notice until an order is confirmed.

Hardware warranty terms are provided separately with each product. Standard warranty covers manufacturing defects for the specified warranty period. Warranty does not cover damage from misuse, unauthorized modification, or operation outside specified environmental parameters.

Software License

Subject to these Terms, Envix grants you a limited, non-exclusive, non-transferable license to use the Software in connection with Envix hardware products. This license permits:

Installation and use of drivers and runtime on systems with Envix GPUs
Use of SDK tools for development and deployment
Commercial use of applications developed using Envix tools

You may not reverse engineer, decompile, or disassemble the Software except as permitted by applicable law. You may not sublicense, rent, or lease the Software to third parties.

Acceptable Use

You agree to use Envix products and services only for lawful purposes and in accordance with our Acceptable Use Policy. You may not use our products or services:

In violation of any applicable laws, regulations, or third-party rights
To develop or deploy systems designed to cause harm to individuals or groups
To interfere with or disrupt the integrity of Envix systems or networks
To circumvent any technical measures designed to protect intellectual property

Intellectual Property

Envix and its licensors retain all rights, title, and interest in and to the products, services, and Software, including all intellectual property rights. These Terms do not grant you any rights to use Envix trademarks, logos, or other brand features without prior written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENVIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

ENVIX'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR PRODUCTS AND SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ENVIX DURING THE TWELVE MONTHS PRIOR TO THE CLAIM.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN A SEPARATE WARRANTY DOCUMENT, ENVIX PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with an updated "Last updated" date. Your continued use of our products and services after such changes constitutes acceptance of the modified Terms.
